Regulatory Framework of Mergers and Amalgamation in India

The laws governing merger and amalgamation in India are mainly included in the Competition Act, 2002 along with the Companies Act, 2013. It is designed to enable companies to successfully reorganize while protecting stakeholder interests. Mergers are controlled under the regime set up by the Competition Act; the CCI must be notified of combinations where the parties cross certain thresholds. On the other hand, the Companies Act lays down the procedural requirements for a merger, such as obtaining approval from shareholders, share valuation, and safeguarding the rights of minority shareholders. Reduction in requirements in these laws has facilitated procedures and improved regulatory oversight, aligning with India's goal of creating an effective and competitive business ecosystem. The article discusses the core legislative provisions, the regulatory authorities involved and how do these regulations impacts upon corporate mergers and acquisitions in India.
