THEORETICAL & PRACTICAL ISSUES AROUND IMPLEMENTING PRE-INCORPORATION CONTRACTS

The term pre-incorporation contracts, as the name suggests has its greatest nexus with the law relating to contractual obligations and therefore derives the basic principles from the same but under the realm of law relating to business and corporate ethos its spectrum cannot be made as vivid and vibrant. In the law of contract the matter falls within the domain of privity. The common law rules are simple and state that a person who have neither paid nor contributed towards the consideration of a contract has no locus standi to enforce the contract in its favour if any or all the terms of the said contract are breached.
